The name of the University of Texas Medical Branch (UTMB) Parents Program shall be known as the UTMB Parents Council, and its address shall be UTMB Alumni and Parent Relations, 301 University Boulevard, Galveston, Texas 77555-0104. The purposes of the Council shall be to enhance communication between parents and family members of UTMB students and the university and to provide a support network for parents and family members that will enhance the educational experience of their students.


Assist in improving communications and building relationships between parents/families and UTMB
Plan and support the annual Family weekend and promote increased attendance
Promote networking between UTMB and alumni
Endorse UTMB projects such as the President’s Cabinet and the President’s Outreach Program
Endorse annual UTMB appeals that support student-based programs
Engage and provide support to fellow UTMB parents


The membership of the Council shall consist of parents, and those standing in the relationship of parents of all UTMB students. Active members of the Council shall consist of those members who pay annual dues to the Council. Annual membership dues are paid per household and will be set by the Advisory Board.


Section 1: The Council shall be governed by an Advisory Board, who shall serve for terms not to exceed the graduation of their child from UTMB. The Advisory Board  shall consist of not more than 12 active members of the Council. Every effort will be made to recruit parents of students from each of the UTMB Schools and taking into consideration geographic and demographic diversity.

Section 2: The Advisory Board shall exercise all the powers of the Council, including the expenditure of funds. The Advisory Board may not, however, authorize the Council to incur debt.

Section 3: The Coordinator II of the Parents Program and Alumni Events or designated alternate shall serve as ex-officio member of the Advisory Board and the Executive Committee.


Section 1: The officers of the UTMB Parents Council shall consist of the President, Past-President, President-elect, Secretary, and Treasurer.

Section 2: The officers of the UTMB Parents Council shall be elected by the Advisory Board from its active membership. Any officer of the UTMB Council, Advisory Board, or committee(s) elected by the Advisory Board may be removed by the Advisory Board at any time, for cause.

Section 3: New officers of the Parents Council shall take office at the conclusion of the annual membership meeting during the UTMB Family Weekend.

Section 4: The President of the Council shall serve as the Chairperson of the Advisory Board and shall preside at all meetings of the Association and the Advisory Board. The President shall have general charge of the affairs of the Board subject to such regulations and restrictions as the Advisory Board shall from time to time determine. The President will serve a one year term, no more than 2 consecutive terms, and then serve as Past - President for an additional year.

Section 5: The President-elect shall act in the absence of the President in carrying out all duties of that office. The President-elect shall be automatically nominated for President upon a vacancy in that office and shall automatically assume the duties of the President upon the expiration of the term of the immediate past President.

Section 6: A member of the Executive Committee shall attend all UTMB Alumni Association Meetings and the UTMB Parents Council Advisory Board meetings.

Section 7: The Secretary will be assisted by the Alumni Relations Office. The primary responsibility of the Secretary shall be to complete minutes of each meeting.

Section 8: The Treasurer will be assisted by the Alumni Relations office. The primary responsibility of the Treasurer shall be to report on the finances of all Parent and Advisory Council meetings. The Alumni Relations office will keep accurate and detailed records of all receipts and disbursements of the Council funds. This account shall at all times be subject to inspection by any member of the Council.

Section 9: In the event of the death, resignation, disqualification, temporary absence or disability of any officer, such officer’s duties and powers may be delegated by the Advisory Board to any other officer of the Council for any specified time or until such time there is an election to fill said vacancy.

Section 10: There shall be an Executive Committee of the Advisory Board which shall be comprised of the President, President-Elect, Treasurer, Secretary, and Chairs of the Membership; Communication and Events Committees. The Executive Committee shall be empowered to act and to approve expenditures not exceeding $1000 at times when the Advisory Board is not in session.


Section 1: The Membership Committee has the responsibility for recruitment and member services for the council.
Section 2: The Communications Committee will provide information through various media about the University of Texas Medical Branch and its students; and other information of interest to members of the association and other parents and family members of UTMB students and family members.

Section 3: The Events Committee shall review and report upon projects proposed for the Council, including all those for which funding by the Council is requested. Events supported by the Council shall focus on the needs of UTMB students.

Section 4: Committee chairs shall be presented and approved by the Executive Committee.
Section 5: The President may appoint ad hoc committees of the Advisory Board.


No Advisory Board member of the Parent Council shall receive compensation for services to the UTMB Parents Council.


Section 1: The Executive Committee shall meet at the call of the President.
Section 2: The Advisory Board shall meet at the call of the President.
Section 3: The Parents Council all-membership meeting will meet annually during the Family Weekend in August.


Section 1:

A minimum of three Executive Committee members at any Executive Committee meeting shall constitute a quorum.
Section 2: One-third of the number of elected members of the Advisory Board shall constitute a quorum at any board meeting.
Section 3: The majority of committee members at a committee meeting shall constitute a quorum.


Section 1: These by-laws may be amended, enlarged or repealed by majority vote of members present at any meeting of the Advisory Board.
Section 2: Written notice of the proposed amendment shall have been provided to all members of the Advisory Board at least one month prior to any such meeting.
